These Terms of Service ("Terms") govern your access to and use of the Central Desk platform operated by Central Desk Limited ("we", "us"). By creating an account or using our service, you agree to these Terms.
Eligibility
- You must be at least 18 years old
- You must have the authority to bind your business to these Terms
- You must represent a legitimate, legal business
- You may not be on any sanctions list maintained by Bangladesh, US, EU, or UN
Your account
- You're responsible for maintaining the security of your login credentials
- You're responsible for all activity under your workspace
- Notify us immediately at security@centraldesk.io if you suspect unauthorised access
- Don't share your login with multiple people — instead, invite each person as a teammate
Acceptable use
You agree not to use Central Desk for:
- Sending spam, unsolicited marketing, or scam messages
- Phishing, fraud, identity theft, or financial crimes
- Sharing illegal content (drugs, weapons, CSAM, etc.)
- Harassing, threatening, or impersonating any person
- Reverse-engineering, scraping, or attempting to bypass our security
- Violating Meta, WhatsApp, Instagram, Telegram, or Google's terms of service
- Reselling or sublicensing Central Desk without written permission
- Building a competing product using insights from our platform
Violations may result in immediate suspension or termination without refund.
Subscription & payment
- Subscription begins after the 15-day free trial unless cancelled
- Plans auto-renew monthly or yearly per your selection
- You can cancel anytime from Billing — no questions asked
- Price changes are notified 30 days in advance via email
- Failed payments — service is paused after 7 days of attempts
- You are responsible for any taxes (VAT 15%, etc.) applicable in Bangladesh
Refunds
- Full refund within 7 days of payment for unused services
- Pro-rated refund after 7 days for the unused period
- No refund for usage-based charges (SMS, WhatsApp templates, email)

Your content & data
- You retain ownership of all conversations, contacts, and content you create or send
- You grant us a limited license to host, process, and display your data — only to provide the service
- You're responsible for ensuring you have rights to all content you send to your customers
- You can export and delete your data anytime from Settings
Service availability
- We aim for 99.95% monthly uptime, but do not guarantee uninterrupted service
- We may perform scheduled maintenance with advance notice
- Outages caused by third parties (Meta, Pathao, bKash) are outside our control but we monitor and notify
- Enterprise plans include SLA-backed credits for downtime — details in your contract
Account suspension & termination
- We may suspend or terminate accounts that violate these Terms
- You may terminate your account anytime from Settings
- Upon termination, you have 30 days to export your data, after which it's permanently deleted
- Unpaid balances become immediately due upon termination
Intellectual property
Central Desk, our logo, the visual design, and all platform code are owned by Central Desk Limited. You may not copy, modify, distribute, or create derivative works without our written permission.
Disclaimers
The Central Desk service is provided "as is" without warranties of any kind, express or implied. We do not warrant that the service will be error-free, secure, or uninterrupted, or that it will meet your specific business needs.
Limitation of liability
To the maximum extent permitted by law, our total liability for any claim arising from these Terms or your use of the service is limited to the amount you paid us in the 12 months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages.
Indemnification
You agree to indemnify and hold Central Desk harmless from any claims, damages, or expenses arising from your violation of these Terms, your content, or your use of the service.
Governing law
These Terms are governed by the laws of the People's Republic of Bangladesh. Disputes will be resolved in the courts of Dhaka, Bangladesh.
Changes to these Terms
We may update these Terms occasionally. Material changes are notified 30 days in advance. Continued use after changes means you accept the new Terms.
